By accessing or using Digiyou’s website, platforms, software, APIs, or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions.

“Charges” means all fees payable by the Client to Digiyou for availing the Services.
“Intellectual Property Rights” means patents, copyrights, trademarks, service marks, trade secrets, designs, know‑how, and other proprietary rights, whether registered or unregistered.
“End User” means any third party recipient of Content generated or transmitted by the Client using the Services.
Services
Digiyou shall render the Services with reasonable skill, care, and diligence in accordance with industry standards. Digiyou reserves the right to modify, enhance, or discontinue any part of the Services with prior notice where practicable.
Client Obligations
The Client agrees to:
Provide accurate, complete, and up‑to‑date information during registration and usage of the Services.
Use the Services only for lawful purposes and in compliance with Applicable Laws.
Ensure that all Content transmitted through the Services is lawful, non‑infringing, and does not violate the rights of any third party.
Maintain confidentiality of login credentials and be solely responsible for all activities carried out through their account.
Implement reasonable security measures to prevent unauthorized access or misuse of the Services.
Digiyou shall not be responsible for the Content created, transmitted, or stored by the Client.
Charges and Payments
Charges for the Services shall be as agreed separately or as published on Digiyou’s website or platform.
All payments shall be made within the timelines specified by Digiyou.
Digiyou reserves the right to suspend or terminate Services in case of non‑payment.
Intellectual Property
All Intellectual Property Rights related to Digiyou’s website, software, platforms, APIs, documentation, and Services shall remain the exclusive property of Digiyou or its licensors. The Client is granted a limited, non‑exclusive, non‑transferable right to use the Services during the term of engagement, solely for their intended purpose.
The Client shall not copy, modify, reverse engineer, distribute, or create derivative works based on Digiyou’s Intellectual Property without prior written consent.
Confidentiality
Each party agrees to maintain the confidentiality of all confidential or proprietary information received from the other party and to use such information solely for the purpose of performing obligations under these Terms. This obligation shall survive termination of the Services.
Disclaimer of Warranties
The Services are provided on an “as is” and “as available” basis. Digiyou makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability of the Services.
Digiyou does not guarantee that the Services will be error‑free, secure, or uninterrupted.
Limitation of Liability
To the maximum extent permitted by law, Digiyou shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities.
Digiyou’s total liability, if any, shall be limited to the amount paid by the Client for the Services in the preceding twelve (12) months.
Term and Termination
These Terms shall remain in effect as long as the Client uses the Services.
Either party may terminate the Services by providing written notice as per the applicable service agreement or platform policy.
Digiyou may suspend or terminate access immediately in case of violation of these Terms or Applicable Laws.
Force Majeure
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, government actions, network failures, or other force majeure events.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Courts at Visakhapatnam, Andhra Pradesh, shall have exclusive jurisdiction, subject to arbitration provisions where applicable.
Amendments
Digiyou reserves the right to modify or update these Terms & Conditions at any time. Updated Terms shall be effective upon posting on the website.
